Terms of Service

These terms apply to the Stakewire Japan website and to the alert service described on it. The service is operated by Hayato Miyauchi, an individual operator based in Japan ("we", "us").

Where things stand today. The service is not open. Nothing is being sold on this site, no payment details are collected, and no alerts are being delivered to anyone. Joining the early access list places you under no obligation and costs nothing. When the service opens, and again before any charging begins, we will email the list.

1. What the service is

Stakewire Japan sends English-language, fact-only alerts drawn from statutory disclosure documents that have already been made public on EDINET, the electronic disclosure system operated by Japan's Financial Services Agency. The documents covered are large shareholding (5%) reports including change and correction reports, tender offer documents, and a fixed, predetermined list of extraordinary report event types.

Each alert extracts objective items from the filing — such as the filer's name, the issuer's name and securities code, holding ratios and share counts, the stated purpose of holding, filing dates and the document ID — and carries a link to the original document. We do not translate documents in full.

2. What the service is not

This is the part that matters most, so it is stated plainly. We do not, on any tier:

This service provides English-language factual summaries and notifications of statutory disclosure documents (large shareholding reports, tender offer filings, and selected extraordinary reports) filed with EDINET, the electronic disclosure system operated by the Financial Services Agency of Japan. It is a news/translation service only. It does not provide investment advice or recommendations, does not express any opinion on the value or price outlook of any security, and is not registered as a financial instruments business operator under the Financial Instruments and Exchange Act of Japan. 3. Who may use it

The service is offered only to customers residing outside Japan. This applies to the free tier exactly as it applies to the paid tiers. When you sign up you confirm that you reside outside Japan; if that ceases to be true, please unsubscribe. We do not accept applications from residents of Japan.

4. It is a one-way wire

We send filings. We do not answer questions about what a filing means, take requests to investigate a company, or hold views on the names in the wire. The single exception is accuracy: if an alert does not match the original document, tell us and we will send a correction.

Every subscriber on a given tier receives the same content in the same words. Paid subscribers may set a follow list, which mechanically filters which covered filings reach them; that filtering is chosen and operated by the subscriber, not by us on the subscriber's behalf.

5. Accuracy, corrections, and limits

We take accuracy seriously and correct errors openly: a correction goes to the same channels as the original, referencing the same document ID. But the alerts are summaries produced by an automated process with human oversight, and they are not official translations. The original filing on EDINET always governs. Every alert links to it so you can check.

We do not warrant that alerts will be uninterrupted, timely, or free of error, and to the extent permitted by law we are not liable for losses arising from your use of, or reliance on, the service. Nothing in these terms limits liability that cannot lawfully be limited.

6. Source data and attribution

The underlying documents are public data from EDINET, used under Japan's Public Data License 1.0. Every alert carries source attribution and the document ID. Stakewire Japan is independently operated: it is not endorsed by, and does not act on behalf of, the Financial Services Agency, any exchange, or any issuer.

The alerts and this website — the wording, format, and selection of presentation — are ours. You are welcome to quote an alert with attribution and a link. Please do not republish the wire wholesale or resell it.

7. Pricing and payment

Nothing is being sold today. The figures shown on this site ($29 per month for Individual, $99 per month for Pro, in US dollars) are planned prices for launch, not a live offer. The free tier is free of charge and is not a trial: it has no expiry and no card field.

If and when charging begins, we will email the early access list in advance, publish the applicable commercial terms at that time, and no one will be charged without actively choosing a paid tier.

8. Ending it

You can leave at any time by clicking unsubscribe in any email. We may suspend or end the service, or an individual subscription, if the service is misused or if we decide not to continue — and if we stop, we will say so to the list in plain words rather than going quiet.

9. Changes to these terms

If we change these terms in a way that affects existing subscribers, we will email the list before the change takes effect.

10. Governing law

These terms are governed by the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction as the court of first instance. If you are a consumer, this does not deprive you of the protection of mandatory rules of the country in which you reside.
